These Terms of Use ("Terms of Use") together with any subscription agreement, order form, or checkout page that incorporates these Terms of Use (collectively, the "Agreement") form a binding legal agreement between you and Rhumbit Technologies Ltd ("Rhumbit," "we", "us", or "ours") regarding your use of the Rhumbit proprietary online platform for field service business management, including scheduling, routing, technician coordination, customer communication tools, and related services made available through our website at rhumbit.com, the Progressive Web App, and any updates or new features (collectively, the "Service").
Please read these Terms of Use carefully. By accessing or using the Service, you accept these Terms of Use and agree to be bound by them. If you are registering for an account or using the Service on behalf of a company, organization, or business ("Customer"), you represent and warrant that you have the authority to bind that Customer to this Agreement (in which case "you" and "your" refer to the Customer).
The terms "Rhumbit," "we," "us," and "our" refer to Rhumbit Technologies Ltd and our affiliates. Rhumbit's direct competitors (or third parties acting on their behalf) are prohibited from accessing or using the Service.
Rhumbit is a B2B SaaS platform that helps service businesses (managers) schedule jobs, optimize routes, manage technicians they employ or contract, and communicate with their end-customers via booking links, SMS, and email. We do <strong>not</strong> operate a marketplace, process job payments between customers and technicians, perform background checks, verify insurance or licensing, or guarantee the quality of any field service work.
You must be at least 18 years old and legally able to form a binding contract. When you register, you agree to provide accurate information and keep it updated. Managers may invite technicians to join their organization within the Service. Technicians are employees or independent contractors of the Customer — Rhumbit has no employment or contractor relationship with them.
Access to the Service is provided on a subscription basis (monthly or annual plans). Pricing and features are described on our pricing page and in your Order Form. All payments are processed securely via Stripe. Subscriptions auto-renew unless canceled. You may cancel at any time via the Stripe portal; cancellation takes effect at the end of the current billing period. We offer a 30-day money-back guarantee for new subscribers — contact [email protected] for details. Overage fees (e.g., additional SMS) may apply as published.
Subject to your subscription and compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not (and may not permit others to):

Rhumbit is not liable for any acts or omissions of your technicians or the outcome of any service call.
The Service integrates with or links to third-party tools (including Google services for maps/routing/auth, Twilio for SMS, Resend for email, and Stripe for payments). We may also use Google Analytics and Facebook Pixel in the future for usage analytics and advertising measurement. Your use of these third-party services is subject to their own terms and privacy policies. We are not responsible for their performance or content.
Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference.
All content, software, and technology in the Service are owned by Rhumbit or its licensors and protected by copyright, trademark, and other laws. You retain ownership of your own data but grant us a license to use it solely to provide the Service.
Any ideas or suggestions you provide become our property. We may use them without compensation or credit to you.
The Service is provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that routing suggestions or ETAs will always be accurate.
To the maximum extent permitted by law, Rhumbit's total liability under this Agreement shall not exceed the total amount you paid us in the twelve (12) months preceding the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or any damages arising from field service work.
You agree to indemnify and hold Rhumbit harmless from any claims, damages, or expenses arising from your use of the Service, your technicians' work, or your violation of this Agreement.
We may suspend or terminate your access for breach or non-payment. You may cancel your subscription at any time. Upon termination, you must stop using the Service and delete any local copies.
We may update these Terms. We will provide at least thirty (30) days' advance notice of material changes (via email or in-app notice). Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
THIS AGREEMENT CONTAINS AN ARBITRATION AGREEMENT. Any dispute arising out of or relating to this Agreement will be resolved by binding arbitration administered by the American Arbitration Association under its commercial rules. You waive your right to a jury trial or to participate in any class action. This section does not apply to claims for injunctive relief regarding intellectual property.
Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Venue for any non-arbitrable matters shall be in Travis County, Texas.
This Agreement constitutes the entire understanding between you and Rhumbit. If any provision is held invalid, the remainder remains in effect. We may assign this Agreement in connection with a merger or sale of assets.
